QuotWay is a Shopify application developed and operated by EFOLI. These Terms of Service explain the rules and conditions for using our app.

These Terms of Service ("Terms") form a binding agreement between QuotWay (a product of EFOLI) ("QuotWay", "we", "us", "our") and the Shopify merchant ("you", "your", "Merchant") who installs and uses the QuotWay app (the "Service"). By installing or using the Service, you accept these Terms.

If you do not agree to these Terms, do not install or use the Service.

QuotWay is an independent application. We are not affiliated with, endorsed by, or sponsored by Shopify Inc. Your use of Shopify is governed by your own agreement with Shopify.


1. Acceptance and eligibility

To install and use the Service you must:

  • Have an active Shopify store on a plan that supports app installation.
  • Be authorized to install Shopify apps on that store (typically the store owner or a staff member with the relevant Apps permission).
  • Be at least 18 years old, or the age of majority in your jurisdiction.
  • Not be barred from receiving the Service under applicable law (for example, you are not on an applicable sanctions list and are not located in an embargoed country).

By installing or using the Service, you represent that you meet these requirements and that you have the authority to bind your organization to these Terms.


2. Description of the service

QuotWay is a Shopify app that adds B2B quote-and-negotiation functionality to a merchant's Shopify store. Depending on your subscription plan, the Service includes:

  • A storefront quote-request button and quote form (product, cart, and catalog placements).
  • A hosted buyer portal and customer-account quote views for negotiation.
  • An embedded admin app for managing incoming quotes.
  • Versioned merchant proposals, counter-offers, and (on eligible plans) buyer counter-offers and in-app messaging.
  • Approval workflows on eligible plans.
  • Conversion of accepted quotes into Shopify draft orders.
  • Generated PDF documents (proposal, and on eligible plans confirmation and pro-forma invoice).
  • Email and in-app notifications.

The exact feature set available to you depends on your subscription plan (Lite, Starter, Professional, or Enterprise). The current plans, feature gates, and pricing are described at /pricing.

2.1 Dependency on Shopify

The Service is a Shopify app and depends on Shopify to function. It reads and writes your Shopify data through Shopify's APIs rather than maintaining a separate copy of your store, and accepted quotes are converted into Shopify draft orders in your Shopify admin. If Shopify changes, restricts, or discontinues the APIs or features the Service relies on, the Service may be affected, and we are not responsible for changes outside our control. The Service requires the Shopify access scopes shown on the App Store listing; you can revoke them at any time by uninstalling the app.


3. Accounts and merchant responsibilities

Access to the embedded admin app is governed by your Shopify login through Shopify OAuth and session-token authentication; QuotWay does not maintain separate admin passwords. You are responsible for:

  • Maintaining the confidentiality of your Shopify credentials.
  • Every action taken on the Service by anyone using your store's credentials or by staff members you grant access to within the Service.
  • Configuring the Service correctly for your business, including targeting rules, pricing, quote-form fields, and any branding you supply.
  • Ensuring you have the legal right and authority to process the buyer and business data you enter into or generate through the Service.
  • Your own communications and commercial decisions made using the Service. A quote, proposal, or counter-offer produced through the Service is your communication with your buyer; you are responsible for its accuracy and for honoring it.

4. Plans, fees, trial, billing, and cancellation

4.1 Plans and fees

The Service is offered on the following plans. The plans, limits, and prices below reflect the Service as currently offered; the authoritative, current list is at /pricing, and these Terms defer to that page if the two differ.

  • Lite - Free: up to 10 quotes per month; 1 team seat.
  • Starter - $29/month: 200 quotes per month, then $0.50 per additional quote, capped at $100 per month in overage; 3 team seats.
  • Professional - $79/month: unlimited quotes; 10 team seats.
  • Enterprise - $199/month: the Professional feature set plus Enterprise features; unlimited team seats.

Prices are stated in US dollars and are exclusive of any applicable taxes.

4.2 Overage

On the Starter plan, quotes beyond the included 200 per month are billed at $0.50 per additional quote, capped at $100 per month. Lite is subject to its monthly quote limit; Professional and Enterprise include unlimited quotes.

4.3 Free trial

Each paid plan includes a 14-day free trial. At the end of the trial, your subscription continues on the selected paid plan and billing begins, unless you cancel or downgrade before the trial ends. Lite is free and does not require a trial.

4.4 Annual billing

Paid plans may be billed annually at a 20% discount compared with the equivalent monthly price. Annual subscriptions are billed in advance for the annual term.

4.5 Billing through Shopify

All subscription and usage charges for the Service are handled through Shopify's billing system. Charges for the Service appear on your Shopify invoice, and you authorize Shopify to charge your Shopify-billed payment method according to the plan and usage. We do not process or store payment-card data. Your billing relationship for these charges is administered through Shopify and is also subject to Shopify's billing terms.

4.6 Changes to plans and pricing

We may change plan tiers, limits, features, or pricing. We will provide notice of material pricing changes that affect your active subscription with reasonable advance notice, and such changes take effect on a subsequent billing cycle. Continued use after a price change takes effect constitutes acceptance of the new price.

4.7 Cancellation and refunds

You may cancel at any time by downgrading or by uninstalling the Service from your Shopify admin. The Service is billed in advance per billing cycle. Except where required by law or by Shopify's billing terms, fees already charged are non-refundable, and we do not provide prorated refunds for the unused portion of a billing cycle on voluntary cancellation. Because billing is administered through Shopify, any refund, proration, or dispute is also subject to Shopify's billing policies. Billing disputes should be raised promptly by contacting legal@quotway.com and, where applicable, Shopify.

4.8 Downgrades

You may downgrade to a lower plan at any time via the in-app Billing page. Features unique to the higher plan stop being available on downgrade, and data created under the higher plan is retained and handled according to the data retention described in our Privacy Policy.


5. Acceptable use

You agree not to:

  • Use the Service in violation of any applicable law or of Shopify's Acceptable Use Policy.
  • Send unsolicited bulk email through the Service. The email features are for legitimate quote workflows with buyers involved in a quote.
  • Attempt to interfere with, disrupt, reverse-engineer, decompile, or scrape the Service, or to circumvent its security, plan limits, billing, or feature gates.
  • Upload files that contain malicious or active content. Uploaded files are validated against an allowlist of file types and checked so that a file's actual byte content matches its declared type; files carrying active or malicious content (such as embedded scripts, macros, or executable actions) are rejected at upload. This is content validation and active-content rejection, not signature-based antivirus; you remain responsible for the files you upload.
  • Use the Service to process data you are not legally authorized to process.
  • Resell the Service or grant access to third parties outside your organization.
  • Use the Service for spam, fraud, phishing, infringement, or any deceptive or unlawful business practice.

We may suspend or terminate your access if you breach this section.


6. Customer data and privacy

You retain all right, title, and interest in the data you upload to or generate through the Service ("Your Data"), including buyer contact information, quote content, and uploaded attachments. You grant us a limited, non-exclusive license to process Your Data solely to provide and support the Service, as further described in our Privacy Policy.

The Service supports Shopify's privacy and GDPR webhooks (customers/data_request, customers/redact, and shop/redact). Data retention is merchant-controlled and enforced by an automated cleanup job. For full detail on what we process, why, and your rights, see the Privacy Policy.

Data export. The Service provides CSV exports of quote and analytics data from the admin, and supports buyer data-portability requests through Shopify's customers/data_request webhook. These are the export mechanisms the Service offers; we do not promise any other account-data export feature beyond those described here.

We may compile aggregate, de-identified statistics from use of the Service (for example, distribution of response times across all merchants) for product analytics and benchmarking. Aggregate data does not identify any individual merchant or buyer.


7. Intellectual property

The Service, including the QuotWay name, logo, application code, user-interface design, documentation, and other materials we provide, is owned by QuotWay and protected by intellectual property laws. Nothing in these Terms grants you any right in the Service beyond the limited right to use it in accordance with these Terms and your plan.

If you send us feedback or suggestions about the Service, you grant us a perpetual, worldwide, royalty-free license to use that feedback to improve the Service, without obligation to you.


8. Third-party services

The Service relies on and integrates with third-party services, including Shopify and the infrastructure and processing providers described in our Privacy Policy and Sub-processors list. Your use of those services may be governed by their own terms, and we are not responsible for the availability, behavior, or terms of third-party services outside our reasonable control.


9. Disclaimers; "as is"; no warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE EXPRESSLY DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE WILL MEET YOUR REQUIREMENTS. YOU USE THE SERVICE AT YOUR OWN RISK.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.


10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Indirect damages. In no event will QuotWay be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or related to these Terms or the Service.
  • Cap on direct damages. Our total aggregate liability arising out of or related to these Terms or the Service will not exceed the greater of (a) the fees you paid for the Service in the 12 months preceding the event giving rise to the claim, or (b) USD 100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.


11. Indemnification

You will indemnify, defend, and hold harmless QuotWay and its officers, directors, employees, and contractors from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of:

  • Your breach of these Terms.
  • Your unlawful or unauthorized use of the Service.
  • Content or data you upload to or process through the Service, including buyer or business data you process without authorization.
  • Your infringement or violation of any third party's intellectual property, privacy, or other rights.

12. Term, suspension, and termination

Term. These Terms apply from the moment you install the Service and continue until terminated by either party.

Your right to terminate. You may terminate at any time by uninstalling the Service from your Shopify admin.

Our right to suspend or terminate. We may suspend or terminate your access immediately if you breach these Terms, if we are required to do so by law, or if your continued use poses a security or operational risk to other merchants or buyers. Where termination is not caused by a breach, we will provide reasonable advance notice.

What happens to your data on uninstall or termination. Uninstalling the Service triggers Shopify's shop/redact webhook. After uninstall, Your Data is retained for a short recovery window and then deleted in accordance with our Privacy Policy and Shopify's compliance requirements. Your Shopify products, customers, orders, and any draft orders created from accepted quotes remain in Shopify.

Survival. Sections that by their nature should survive termination - including intellectual property, disclaimers, limitation of liability, indemnification, and governing law and dispute resolution - survive.


13. Changes to the service and these terms

We may modify the Service, and we may modify these Terms. For material changes to these Terms, we will provide reasonable advance notice, for example via an in-app notice or by email to the merchant contact on file. Changes take effect on the stated effective date, and continued use of the Service after that date constitutes acceptance. If you do not accept a material change, your remedy is to stop using and uninstall the Service before the change takes effect.

We may also add, change, or discontinue features of the Service over time, including in response to changes by Shopify.


14. Governing law and dispute resolution

These Terms, and any dispute or claim arising out of or in connection with them or the Service, are governed by the laws of Bangladesh, without regard to its conflict-of-laws rules. You and QuotWay agree that the courts located in Dhaka, Bangladesh have exclusive jurisdiction over any such dispute or claim, and each party submits to the personal jurisdiction and venue of those courts.


15. Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any plan-specific terms presented at sign-up, constitute the entire agreement between you and QuotWay regarding the Service and supersede any prior agreements on that subject.
  • Severability. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Assignment. You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
  • Relationship to Shopify. QuotWay is independent and is not affiliated with, endorsed by, or sponsored by Shopify Inc.
